3.Non Disclosure of Confidential Information.The parties each agree not to use the Confidential Information of the other party or the other party’s affiliates,for its own use or for any purpose except to evaluate or conduct the Business Relationship.The Receiving Party shall not reverse engineer,decompile,or disassemble any products provided to it by the Disclosing Party or any of its affiliates except and then only to the degree necessary to evaluate the possibility and feasibility of,or to conduct the Business Relationship.The Receiving Party shall not disclose Confidential Information of the Disclosing Party or the Disclosing Party’s affiliates,or information concerning the Business Relationship,to any third party or to the Receiving Party's employees or advisors except such employees or advisors who are required to have the information in order to evaluate or conduct the Business Relationship.The Receiving Party shall instruct its employees and advisors who have access to Confidential Information to abide by and comply with the non-disclosure and non-use provisions of this Agreement prior to any disclosure of Confidential Information to such employees or advisors.The Receiving Party agrees that it will take all reasonable steps to protect the secrecy of and avoid disclosure or use of Confidential Information of the Disclosing Party or the Disclosing Party’s affiliates in order to prevent it from falling into the public domain or the possession of unauthorized persons.The Receiving Party agrees to notify the Disclosing Party in writing of any misuse or misappropriation of such Confidential Information which may come to its attention.
4.Return of Materials.Any materials or documents of which have been furnished by the Disclosing Party or its affiliates to the Receiving Party shall be promptly returned,accompanied by all copies of such documentation (except for one copy which may be retained by Receiving Party’s legal department for archival purposes) after the Business Relationship has been rejected or concluded,or upon written request,whichever occurs first.
5.Patent or Copyright Infringement.Nothing in this Agreement is intended to grant any rights under any patent or copyright of either party or their affiliates,nor shall this Agreement grant either party or their affiliates any rights in or to the other party's Confidential Information except the limited right to review and use such Confidential Information solely for the purposes of evaluating and conducting the Business Relationship.Nothing in this Agreement shall be construed as a technology transfer.
